PV  PROJECT OVERVIEW – 9.77 MWp – MERENI, ROMANIA

     This Project Overview (the “Memorandum”) has been prepared by Wira Grup S.A. (the “Technical Adviser”) on behalf of Romanian Company(the “Project Developer”) from information supplied to the Technical Adviser by management of the Project Developer and external resources believed to be reliable. It is for the exclusive use of the recipient and its advisers in connection with the proposed equity participation (the “Transaction”) in the project companies (the “Project Companies”) controlling all the development rights of the PV projects (the “PV Projects”) developed by the Project Developer. It is being made available on a confidential basis for information purposes only to a limited number of parties who have expressed a preliminary interest in participating in the Project Companies. It is being made available with a view to assisting the recipient in deciding whether it wishes to proceed with the further investigation of the Transaction. Neither the receipt of this Memorandum by any person nor any information supplied in connection with the proposed Transaction is or is to be taken as constituting the giving of investment advice or to constitute any person as a customer of the Financial Adviser or any of its members in connection with the Transaction.
